Salary Range: The full pay range for this role is $84,700 to $141,000 annually, and the good faith estimated starting pay for this position upon hire is $101,610 to $118,000 annually. We generally base our salary decisions on factors including but not limited to, relevant work and leadership experience, education, demonstrated performance, internal equity, and in some cases, geographic location.

Scope of Job:

The Mergers & Acquisitions and Project Finance Analyst focuses on financial modeling, data analysis, and due diligence support for mergers, acquisitions, and project financing transactions. Key responsibilities include building and scrutinizing proforma models, financial structuring, runs sensitivities, manages data rooms, provides transaction support, conducts market research, and prepares pitch books and presentations. This role requires mastery of Excel, proficiency in PowerPoint, strong analytical thinking, attention to detail, effective time management, and clear communication skills.

This position is Hybrid in San Diego (Rancho Bernardo). Minimum of three days a week in-office.

Responsibilities

  • M&A and Project Finance
  • Financial Analysis: Supports financial modeling, valuation, due diligence, and risk analysis for acquisition and divestiture transactions.
  • Financing Support: Assists in structuring, negotiating, and executing debt and tax equity financing arrangements with lenders and investors, supports credit approvals and closing processes.
  • Transaction Process Management: Supports cross-functional transaction teams (Development, Finance, Legal, Engineering, Procurement) to ensure efficient and timely execution of M&A and project finance transactions. Assists in structuring term sheets and supporting MIPA/PSA negotiations, as well as financing agreements.
  • Due Diligence Management: Assists the entire due diligence process for potential target deals, covering financial, developmental and operational, legal, technological, and other relevant areas.
  • Strategic Support
  • Market Origination and Strategic Assessment: Identifies and researches project and platform acquisition opportunities across solar, wind, and storage. Supports pipeline development through proactive engagement with developers and industry contacts.
  • Market Intelligence and Competitive Benchmarking: Monitors industry trends, regulatory developments, and Project Finance/M&A activity to inform strategic positioning and provides insights to internal stakeholders.
  • Internal Process Management
  • Internal Stakeholder Coordination and Approvals - Prepares and assists investment memos and executive presentations to obtain approvals from internal Investment Committees and Executive leadership.
  • Supports handover of acquired projects or portfolios to internal teams, including knowledge transfer, commercial obligations, and documentation.
  • Digital Tools, Process Improvement
  • Helps optimize M&A and Project Finance tracking systems, templates, dashboards, and databases to increase team efficiency and decision-making transparency.
