About the role

Original posting from VaynerMedia LLC

VaynerX

VaynerX is a family of companies building brands for the now. Founded by Chairman Gary Vaynerchuk in January 2017, the modern-day parent company is home to relevance-driving businesses including VaynerMedia, ChukMedia, Tamara Group, Gallery Media Group, Tingley Lane Trading, and VaynerSpeakers.

What You’d Do

Draft, review, and negotiate client statements of work (SOWs), vendor master services agreements (MSAs), and related commercial documents such as NDAs, change orders, amendments, order forms, and insertion orders.

Develop a deep understanding of current client MSAs to support efficient contract intake, drafting, and negotiation of client-related documents.

Serve as the main contracts contact for project managers, finance, and other departments: gather deal requirements, explain contract terms in plain language, and coordinate internal approvals.

Use and learn VaynerX’s AI-powered tools to help draft, review, and compare contracts, and provide feedback to improve these tools and their workflows.

Manage the contract lifecycle from intake through signature, including tracking contract status, key dates, renewals, and obligations, and keeping accurate records in our internal systems.

Maintain, update, and improve our standard form agreements, templates, clause libraries, and negotiation playbooks, helping make contracting processes simpler and more efficient.

Work with the Central Operations team and support the global Legal team, including escalating non-standard terms, high-risk issues, and complex legal questions to senior Legal team members as appropriate.

What You’ve got

BA/BS degree and J.D. degree required, with active admission in good standing to at least one U.S. state bar. New York Bar admission preferred; candidates admitted elsewhere must be registered, or eligible to register, as In-House Counsel in New York.

Experience drafting, reviewing, and negotiating commercial contracts (especially MSAs and SOWs), ideally at an agency, in-house legal, procurement, or contracts team, or law firm in digital media, advertising, or technology.

Working knowledge of common commercial contract terms, including scope of work, payment terms, intellectual property ownership, indemnification, limitation of liability, confidentiality, and data protection provisions.

A strong and demonstrated interest in the digital world, social media, and emerging technology.

Comfort with technology and willingness to learn AI-powered drafting and contract management tools; experience with intake or ticketing platforms is a plus.

Excellent written and verbal communication skills, including the ability to explain contract terms clearly to non-legal colleagues and work well with internal and external stakeholders.

Quick learner with a strong work ethic and demonstrated initiative, responsibility, and attention to detail.

Strong organizational and project management skills, with the ability to manage a high volume of agreements, prioritize competing deadlines, and work in a fast-paced environment.

This position is currently designated as hybrid and is subject to the Company's workplace attendance and in-office work requirements, as in effect from time to time. The Company reserves the right to modify these requirements at any time.
