SENIOR COMMERCIAL COUNSEL

Brooklyn, NY or Palo Alto, CA · Full-time, in office five days a week · Reports to the General Counsel

ABOUT WHOP

Whop's mission is to help everyone earn a sustainable income. More than 27,000 internet businesses use the Whop Payments Network for payments, payouts, distribution and affiliate programs, and sellers earned more than $300M on the platform last month.

We are building institution-grade financial infrastructure for internet entrepreneurs. As our customers, partners and transactions grow in size and complexity, so do the agreements behind them. We're looking for an experienced commercial lawyer to lead that work.

THE ROLE

As Senior Commercial Counsel, you will lead Whop's commercial legal function, with primary responsibility for our enterprise merchant, platform and channel agreements. You will work directly with business leads on live negotiations, draft and negotiate agreements yourself, and engage outside counsel selectively for specialist issues. The role offers significant ownership and direct visibility into how the business grows.

RESPONSIBILITIES

  • Payments Network agreements. Draft, negotiate and close enterprise merchant and platform agreements covering pay-ins, payouts, marketplace structures, embedded checkout and API integrations.
  • Partnerships. Structure and negotiate reseller, referral, channel and strategic partnership agreements as we expand our partner program.
  • International expansion. Develop commercial terms for launches in Canada, Brazil, Mexico, Germany, France and Colombia, coordinating with local counsel where appropriate.
  • Negotiations. Participate in customer and partner calls to resolve open issues in real time and keep deals moving.
  • Risk allocation. Advise on limitation of liability, indemnification, data protection, SLAs and payment terms, balancing commercial objectives against legal and business risk.
  • Contracting infrastructure. Build and maintain templates, fallback positions, clause libraries and AI-assisted workflows that let a lean legal team handle growing deal volume efficiently.
  • Product counsel. Advise on data privacy, DPAs, AI features, and product packaging and sales terms.
  • Outside counsel management. Select, manage and oversee outside counsel engagements.

QUALIFICATIONS

  • 5–10 years of legal experience with a substantial focus on commercial transactions
  • JD and admission to the New York or California bar, or eligibility to register as in-house counsel
  • Demonstrated experience negotiating enterprise customer and partnership agreements, including with larger counterparties
  • Sound, practical judgment on risk, with the ability to make informed trade-offs in support of strategic business goals
  • Strong organization and attention to detail across a high volume of agreements
  • Experience using AI tools to improve the efficiency and quality of legal work

We expect strong candidates to come from one of the following backgrounds:

  • A technology transactions or commercial associate at a leading law firm with experience negotiating complex B2B agreements, looking to take on full ownership of deals
  • An in-house commercial lawyer at a high-growth fintech, payments, infrastructure or SaaS company
  • A lawyer with law firm or in-house training who also brings founder or operating experience

PREFERRED QUALIFICATIONS

  • Experience with payments, card network or bank partnership agreements
  • Marketplace or creator economy experience
  • International commercial transactions experience

IS THIS ROLE A FIT?

This is a hands-on transactional role. It is best suited to lawyers who enjoy doing the drafting and negotiation themselves rather than primarily managing outside firms, and whose core strength is commercial dealmaking rather than regulatory or compliance work. Success here means making well-reasoned decisions with incomplete information and focusing on outcomes.

HOW WE WORK

Whop is an in-office company of about 100 people, many of whom are former founders. We give team members meaningful ownership, resources and autonomy. We value:

  • Root-cause thinking. Improving systems so that each deal is easier than the last.
  • Candor and alignment. Open debate before a decision, then full commitment to executing it.

We welcome candidates from non-traditional backgrounds and encourage you to apply even if your experience doesn't match every listed qualification.

We offer highly competitive cash compensation and equity, along with:

  • Health, vision and dental coverage
  • Unlimited PTO
  • Equinox membership
  • Lunch and dinner, Monday through Friday
